Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TenderAI website, web application, and related services (collectively, the “Service”) provided by TenderAI (“TenderAI”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@tenderai.co.zw of any unauthorised use of your account.

2. Description of the Service

TenderAI uses artificial intelligence to help Zimbabwean businesses prepare tender proposals aligned with the Procurement Regulatory Authority of Zimbabwe (PRAZ) and ZPPA framework. The Service includes proposal generation, compliance analysis, a secure document Vault, deadline and expiry reminders, and related tools. We may add, modify, or remove features at any time to improve the Service.

3. Licence & Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your legitimate business purposes. All intellectual property rights in the Service, including software, design, and AI generation mechanisms, remain owned by TenderAI and/or its licensors. You agree not to:

  • Republish, resell, rent, or sub-license the Service or its underlying materials;
  • Reverse engineer, decompile, or attempt to extract the source code or AI models of the Service;
  • Use the Service to build a competing product or to scrape, harvest, or copy content at scale;
  • Upload unlawful, infringing, or malicious content, or content you do not have the right to submit;
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its infrastructure;
  • Use the Service in violation of any applicable law or the rights of any third party.

4. Your Content

You retain all ownership rights in the documents and data you upload (“Your Content”) and in the proposals generated for you. You grant TenderAI a limited licence to process, store, and use Your Content solely to provide and improve the Service for you. You represent that you have the necessary rights to upload Your Content and that it does not infringe any third-party rights or violate any law. As stated in our Privacy Policy, Your Content is never used to train public or third-party AI models.

5. AI Output, Document Accuracy & Your Responsibility

TenderAI generates proposals and compliance analyses using AI based on the ZPPA framework and the information you provide. AI-generated output may contain errors, omissions, or inaccuracies. Accordingly:

  • You are solely responsible for reviewing, editing, verifying, and validating all generated proposals and documents before submitting them to any procurement entity;
  • You are responsible for ensuring that your submissions meet the specific requirements, deadlines, and eligibility criteria of each tender;
  • TenderAI does not guarantee that any proposal will be accepted, shortlisted, or result in an awarded contract;
  • TenderAI is a software tool and does not provide legal, financial, or professional procurement advice.

6. Subscriptions, Credits & Payments

Certain features require a paid subscription or the purchase of pay-per-document credits. By selecting a paid plan, you agree to pay the applicable fees as displayed at the time of purchase. Payments are processed securely through our payment partners (including Paynow, EcoCash, and Stripe).

  • Subscriptions renew automatically for the billing period selected unless cancelled before the renewal date;
  • You can cancel at any time; cancellation stops future renewals but does not retroactively refund the current period;
  • Fees are stated exclusive of any applicable taxes, which you are responsible for where required;
  • We may change our pricing on a prospective basis with reasonable notice.

7. Refunds

Except where required by applicable law, fees are generally non-refundable. If you believe you have been charged in error, contact support@tenderai.co.zw and we will review your request in good faith. Approved refunds are returned via the original payment method where possible.

8. Third-Party Services

The Service integrates with third-party services (such as AI providers, payment gateways, and the WhatsApp Business API). Your use of those services may be subject to their own terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Service Availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We may suspend or limit access to protect the Service or comply with legal requirements.

10. Suspension & Termination

We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or create risk or legal exposure for TenderAI. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that AI output will be accurate, complete, or suitable for any particular tender.

12. Limitation of Liability

To the maximum extent permitted by law, TenderAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost bids, disqualifications, lost profits, lost revenue, or loss of data, arising from or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to TenderAI in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless TenderAI and its officers, employees, and partners from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, your submissions to procurement entities, or your breach of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Zimbabwe. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

15. Modifications to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date above. Material changes may also be communicated by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
